1. Introduction
1.1 Contract
By creating a VecTrade account or accessing or using our Services (described below), you are agreeing to enter into a legally binding contract with VecTrade (even if you are using third-party credentials). If you do not agree to this contract ("Contract" or "User Agreement"), do not create an account or access or otherwise use any of our Services. If you wish to terminate this Contract at any time, you can do so by closing your account and no longer accessing or using our Services.
This Contract applies to VecTrade's website, applications, and other related services that state they are offered under this Contract ("Services"). Your use of our Services is also subject to our Privacy Policy, Cookie Policy, and Accessibility Statement, which cover how we collect, use, share, and store your personal information and our commitment to accessible design.
1.2 Members and Visitors
When you register and join VecTrade, you become a "Member". If you have chosen not to register, you may access certain features as a "Visitor". This Contract applies to both Members and Visitors. For information about the controls available to Visitors, see our Guest Controls page.
1.3 Changes
We may modify this Contract, our Privacy Policy, and our Cookie Policy from time to time. If we make material changes, we will provide you with notice through our Services or by other means to give you the opportunity to review the changes before they become effective. Changes cannot be retroactive. If you object to any changes, you may close your account. Your continued use of our Services after we publish notice of changes means you are consenting to the updated terms as of their effective date.
2. Obligations
2.1 Service Eligibility
The Services are not for use by anyone under the age of 16. To use the Services, you agree that: (1) you must be at least 16 years old or the minimum age required by law in your jurisdiction; (2) you will only have one VecTrade account, which must be in your real name; and (3) you are not already restricted by VecTrade from using the Services. Creating an account with false information is a violation of our terms.
2.2 Your Account
You are responsible for your account. You agree to: (1) protect against unauthorised access to your account by using a strong password and keeping it confidential; (2) not share or transfer your account or any part of it; and (3) follow the law and our list of Dos and Don'ts below. You are responsible for anything that happens through your account unless you close it or report misuse.
2.3 Payment
If you purchase any paid Services, you agree to pay us the applicable fees and taxes. Failure to pay these fees may result in the termination of your paid Services. If you purchase a subscription, your payment method will automatically be charged at the start of each subscription period. To avoid future charges, cancel before the renewal date. All fees are stated in Australian dollars unless otherwise indicated.
2.4 Notices and Messages
You agree that we will provide notices and messages to you through: (1) our Services, or (2) the contact information you provided (e.g., email). You agree to keep your contact information up to date.
2.5 Sharing
Our Services allow sharing of information in many ways, such as through your profile, trading activity, portfolio data, and messages. Information that you share may be seen by other Members or Visitors depending on your settings. We are not obligated to publish any content on our Services and can remove it with or without notice.
3. Rights and Limits
3.1 Your Licence to VecTrade
As between you and VecTrade, you own your original content that you submit or post to the Services. You grant VecTrade a worldwide, non-exclusive, transferable, and sublicensable licence to use, copy, modify, distribute, and display your content in connection with the Services. You can end this licence for specific content by deleting it, or generally by closing your account — except to the extent others have copied or re-shared it, or where required by law.
You agree to only provide content and information that does not violate the law or anyone's rights (including intellectual property rights). You also agree that the profile information you provide will be truthful.
3.2 Service Availability
We may change, suspend, or discontinue any of our Services at any time. We may also limit the availability of features so that they are not available to all Members. VecTrade is not a storage service — we have no obligation to store, maintain, or provide you a copy of any content or information that you or others provide, except as required by applicable law.
3.3 Other Content and Third Parties
By using the Services, you may encounter content or information that might be inaccurate, incomplete, misleading, or otherwise harmful. You agree that we are not responsible for content provided by other Members. Third-party links, integrations, or services that may appear on VecTrade are not endorsed by us, and you use them at your own risk.
3.4 Limits
VecTrade reserves the right to limit your use of the Services, including your ability to interact with other Members. We reserve the right to restrict, suspend, or terminate your account if you breach this Contract or the law or misuse the Services.
3.5 Intellectual Property Rights
VecTrade reserves all of its intellectual property rights in the Services. "VecTrade", the [Ve] logo, and other VecTrade trademarks, service marks, graphics, and logos used for our Services are trademarks or registered trademarks of VecTrade. For guidance on permitted use of our brand, see our Brand Guidelines.
3.6 Market Data and Simulated Trading
The market data, analytics, and trading simulations provided through our Services are for informational and educational purposes. VecTrade does not provide investment advice, and simulated trading results do not guarantee or predict future performance. All trading activity on VecTrade is executed with simulated capital and does not involve real financial transactions. See also our Copyright Policy for market data attribution requirements.
4. Disclaimer and Limit of Liability
4.1 No Warranty
VECTRADE AND ITS AFFILIATES MAKE NO REPRESENTATION OR WARRANTY ABOUT THE SERVICES, INCLUDING ANY REPRESENTATION THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, AND PROVIDE THE SERVICES (INCLUDING CONTENT AND INFORMATION) ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW, INCLUDING THE AUSTRALIAN CONSUMER LAW SET OUT IN SCHEDULE 2 OF THE COMPETITION AND CONSUMER ACT 2010 (CTH), VECTRADE DISCLAIMS ANY IMPLIED OR STATUTORY WARRANTY, INCLUDING ANY WARRANTY OF TITLE, ACCURACY, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.
Market data, analytics, and simulated trading results provided through the Services may not reflect accurate, complete, or current information. It is your responsibility to verify any information before making decisions based on it.
4.2 Exclusion of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW (INCLUDING THE AUSTRALIAN CONSUMER LAW), VECTRADE WILL NOT BE LIABLE IN CONNECTION WITH THIS CONTRACT FOR LOST PROFITS OR LOST BUSINESS OPPORTUNITIES, LOSS OF DATA, OR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES. VECTRADE WILL NOT BE LIABLE TO YOU FOR ANY AMOUNT THAT EXCEEDS (A) THE TOTAL FEES PAID BY YOU TO VECTRADE FOR THE SERVICES DURING THE 12-MONTH PERIOD PRIOR TO THE FIRST EVENT GIVING RISE TO LIABILITY, IF ANY, OR (B) AUD $1,000.
4.3 Basis of the Bargain; Non-Excludable Rights
The limitations of liability in this Section 4 are part of the basis of the bargain between you and VecTrade and shall apply to all claims of liability even if VecTrade has been told of the possibility of any such damage. These limitations do not apply to liability for death or personal injury, fraud, gross negligence, or intentional misconduct.
Nothing in this Contract excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law or any other applicable law that cannot be excluded, restricted, or modified by agreement.
5. Indemnification
To the fullest extent permitted by law, you agree to indemnify and hold harmless VecTrade, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use or misuse of the Services; (b) your breach of this Contract; (c) your violation of any third-party rights, including intellectual property rights; or (d) any Content you submit, post, or share through the Services.
6. Termination
Both you and VecTrade may terminate this Contract at any time with notice to the other. On termination, you lose the right to access or use the Services. The following shall survive termination:
- Our rights to use and disclose your feedback
- Section 3 (Rights and Limits), subject to Section 3.1
- Sections 4, 5, 7, 8, and 10.2 of this Contract
- Any amounts owed by either party prior to termination
7. Governing Law and Dispute Resolution
This Contract, and any dispute arising out of or in connection with it, shall be governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict-of-law principles. The parties submit to the exclusive jurisdiction of the courts of New South Wales, Australia.
If any provision of this Contract is held unenforceable, the remaining provisions shall remain in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving the parties' original intent.
8. General Terms
8.1 Entire Agreement
This Contract, together with the Privacy Policy, Cookie Policy, and any additional terms applicable to specific Services, constitutes the entire agreement between you and VecTrade regarding the Services and supersedes all prior agreements.
8.2 Assignment
You may not assign or transfer this Contract without our consent. VecTrade may assign this Contract to its affiliates or a party that acquires it without your consent. There are no third-party beneficiaries to this Contract.
8.3 Waiver
If we don't act to enforce a breach of this Contract, that does not mean VecTrade has waived its right to enforce it. No waiver shall be effective unless made in writing.
8.4 Force Majeure
VecTrade shall not be liable for any failure or delay in performing its obligations under this Contract to the extent that such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemic, epidemic, war, terrorism, riots, government actions, power failures, internet or telecommunications failures, or cyberattacks. This Section does not excuse your payment obligations.
